Welcome to BookingBridge AI ("BookingBridge", "we", "our", or "us"). These Terms and Conditions ("Terms") govern your access to and use of our website, services, and AI-powered booking assistant tools provided through bookingbridge.ca (collectively, the "Services").

BookingBridge AI is operated by Mudit Mogla, based in Ottawa, Ontario, Canada.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services. These Terms should be read together with our Privacy Policy and Trust & Compliance page.

Plain language summary: BookingBridge builds AI chat widgets for clinic websites. We answer patient questions, capture leads, and route visitors to booking pages. We never touch patient health records, booking systems, or medical data. This document covers the rules of using our services.

Overview of Services

BookingBridge provides AI-powered website chat assistants ("Widgets") configured for paramedical clinics including physiotherapy, chiropractic, registered massage therapy, osteopathy, and related health service businesses across Canada.

The Widget is embedded on the client clinic's website and provides:

BookingBridge is designed for use by registered Canadian health businesses. You must be an authorized representative of a registered business to subscribe to our Services.

What the Widget Does Not Do

BookingBridge is an administrative and communication tool only. The Widget does not:

Account Registration and Access

To access certain Services, you may be required to provide accurate, complete business information. You are responsible for safeguarding any credentials and for all activity associated with your account. You agree not to share access with unauthorized parties or use the platform for any unlawful purpose.

Client Data and Privacy

Lead information collected through the Widget (name, contact information, service interest, preferred time) is delivered directly to your clinic's designated email address and optionally logged to a Google Sheet owned and controlled by your clinic. BookingBridge does not retain lead data beyond what is operationally necessary for delivery.

BookingBridge will not sell or share clinic or patient data with third parties unless explicitly authorized or required by law. For full details, see our Privacy Policy.

Clinics are responsible for obtaining appropriate consent from visitors before initiating any follow-up communications in compliance with CASL.

AI Limitations and No Clinical Advice

BookingBridge uses artificial intelligence (Anthropic's Claude API) to generate Widget responses. By using the Services, you acknowledge and agree that:

Payment Terms

Access to Services requires payment of a one-time setup fee and ongoing monthly subscription fee as outlined in your service quote. All fees are in Canadian dollars (CAD). HST will be added where applicable.

Monthly subscriptions are billed automatically via Stripe on a recurring basis. You may cancel at any time with 30 days written notice. One-time setup fees are non-refundable once work has commenced. Monthly fees are non-refundable for the current billing period.

BookingBridge reserves the right to suspend service after 14 days of non-payment.

Term and Cancellation

This Agreement begins on the date of first payment and continues month-to-month until cancelled by either party with 30 days written notice by email to info@bookingbridge.ca. Upon termination, BookingBridge will disable the Widget within 2 business days. Client is responsible for removing the Widget embed code from their website.

BookingBridge may terminate immediately if a client uses the Widget for unlawful purposes, materially breaches these Terms, or fails to pay any amount due for 14 or more days.

No system is completely secure. BookingBridge is not responsible for unauthorized access resulting from factors outside our reasonable control.

By using the Services, you consent to the processing of data by these sub-processors as necessary to deliver the Services.

International Data Transfer

BookingBridge's infrastructure relies on third-party services whose servers may be located in the United States. As a result, data processed through the Widget may be transferred to and processed in the United States. By using our Services, you acknowledge this cross-border transfer. PIPEDA permits cross-border processing when adequate safeguards are in place. BookingBridge implements safeguards through encryption, access controls, and sub-processor selection.

CASL Compliance

BookingBridge is designed to support CASL compliance. Lead capture through the Widget constitutes visitor-initiated contact, which represents express consent for the clinic to follow up. Your clinic is responsible for maintaining consent records and honouring opt-out requests in all subsequent communications. BookingBridge is not responsible for CASL violations arising from your use of lead data.

Intellectual Property

The Widget technology, system prompts, configuration methodology, and AI architecture are the intellectual property of BookingBridge AI. Clients receive a limited, non-exclusive licence to use the Widget on their website during the term of the agreement only.

Clinic information provided for Widget configuration (services, hours, booking links, FAQ content) remains the property of the clinic. BookingBridge claims no ownership over clinic or patient data.

Clients may not reverse engineer, copy, resell, or sublicense the Widget or its underlying technology.

Disclaimers

The Services are provided "as is" and "as available." BookingBridge makes no warranties, express or implied, including merchantability or fitness for a particular purpose. We do not guarantee that the Widget will be error-free or uninterrupted, that AI responses will always be accurate, or that use of the Services will result in specific booking, revenue, or retention outcomes.

Limitation of Liability

To the maximum extent permitted by applicable law, BookingBridge's total cumulative liability for any and all claims arising under or related to these Terms shall not exceed the total fees paid by the client in the three calendar months immediately preceding the event giving rise to the claim.

Under no circumstances shall BookingBridge be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including lost revenue, lost bookings, lost profits, loss of data, or business interruption, even if advised of the possibility of such damages.

Indemnification

Clients agree to indemnify and hold harmless BookingBridge and its representatives from any claims, damages, penalties, or expenses arising from: (a) misuse of the Widget; (b) violation of applicable law or professional regulations; (c) inaccurate information provided for Widget configuration; or (d) failure to follow up on leads or communicate with patients appropriately.

Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Any disputes will first be subject to good-faith negotiation. For disputes under $35,000, the parties agree to binding arbitration in Ottawa, Ontario under the Arbitration Act, 1991 (Ontario). Legal proceedings shall be conducted in Ottawa, Ontario.

Modifications

BookingBridge may revise these Terms from time to time. The most current version will always be posted at bookingbridge.ca/terms. Material changes will be communicated to existing clients by email with 30 days notice. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
